Terms and Conditions

By accessing or using the M-Seedly platform ("Platform"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform. Our Platform is available only to individuals who are at least 18 years old.

To access certain features of our Platform, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and accept all risks of unauthorized access
• Promptly update your information if it changes
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided during registration proves to be inaccurate, false, or misleading.

As a fundraiser organizer, you agree to the following:

• Provide complete and accurate information about your identity, your cause, and how funds will be used
• Use donations only for the purposes described in your fundraiser
• Comply with all applicable laws and regulations
• Not make false or misleading claims in your fundraiser
• Respond promptly and truthfully to questions about your fundraiser

Prohibited fundraisers include, but are not limited to:

• Illegal activities or campaigns that promote illegal conduct
• Ransom demands or financial threats
• Terrorism or hate speech
• Pornography or sexually explicit material
• Pyramid schemes or multi-level marketing

All donations are voluntary and non-refundable. By making a donation through our Platform, you acknowledge that:

• Donations are made to the fundraiser organizer, not to M-Seedly
• We are not responsible for how organizers use the funds
• Donations are subject to processing fees as disclosed during the donation process
• We use third-party payment processors to handle donations

Our current fee structure is as follows:

• Platform fee: 5% of each donation
• Payment processing fee: 30 KES per transaction

You agree not to engage in any of the following prohibited activities:

• Violating any laws or regulations
• Infringing upon the rights of others
• Posting false or misleading information
• Spamming, phishing, or engaging in other deceptive practices
• Uploading viruses or malicious code
• Interfering with the proper functioning of the Platform
• Creating multiple accounts for deceptive or fraudulent purposes
• Harassing, abusing, or harming another person

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions.

The Platform and its original content, features, and functionality are owned by M-Seedly and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of all content you submit, post, or display on or through the Platform. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content.

The M-Seedly name and logo are trademarks of M-Seedly and may not be used without our prior written permission.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information. By using the Platform, you agree to our collection, use, and sharing of your information as described in our Privacy Policy.

We may disclose information about you to:

• Comply with legal process
• Enforce these Terms
• Respond to claims that any content violates the rights of third parties
• Protect the rights, property, or personal safety of our company, our users, or the public

To the maximum extent permitted by law, M-Seedly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Platform
• Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Platform

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Platform or delete your account through your account settings.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.
